Reporting to the Corporate Secretary, the Corporate Paralegal will provide a variety of legal and governance related duties for the Company. The Corporate Paralegal will be responsible for assisting with managing the daily functions of the legal department, coordinating various Board and Committee meetings and related follow-up documentation, completing annual filings and ensuring minute books are up to date.


The Corporate Paralegal will be responsible for, but not limited to, the following:

  • Assist in the preparation of and co-ordination of Board and Committee Meetings and Meeting materials.
  • Serve as a primary contact for electronic board books using Aprio software.
  • Draft various corporate resolutions, meeting minutes, agreements and legal correspondence.
  • Coordinate the various aspects of the annual meeting of shareholders, including liaising with the transfer agent and assisting with the Chairman's script.
  • Assist with the preparation of annual disclosure documents (e.g. AIF and Information Circular).
  • Filing of corporate disclosure, material change documents and other statutory or regulatory filings on SEDAR, EDGAR and SEDI and other related regulatory filings with the TSX, NYSE and Securities Commission to ensure ongoing compliance with continuous disclosure requirements.
  • Maintain corporate and department records including administering and organizing the Legal & Compliance file and record keeping system.
  • Maintain Minutes Books, Constating Documents and summaries of the Company and its subsidiaries.
  • Liaising with corporate secretaries for subsidiary companies.
  • Maintain Regulatory Compliance Calendar for the department.
  • Serve as contact for the Company’s online equity platform and assist with the management of the Company’s Equity Plans.
  • Coordinating and overseeing the Legal & Compliance section of the Company intranet.
  • Preparation and payment coordination of quarterly director invoices.
  • Drafting and filing of Indemnity Agreements.
  • Perform other duties as required.

Minimum 5 years of Paralegal experience with public company securities and/or governance related experience preferred.

  • Strong Microsoft Office skills for applications, such as: Word, Excel, PowerPoint, and Outlook.
  • Practical experience managing corporate and securities filings (SEDAR, SEDI, TSX SecureFile).
  • Excellent teamwork and collaboration skills;
  • Clear and concise verbal and written communication skills and strong organizational skills, with an exceptional attention to detail;
  • Proven problem-solving skills with the ability to deliver creative solutions; and
  • Exceptional interpersonal skills.
