FORWARD LOOKING STATEMENTS
Certain of the statements and information provided on the Site may contain forward-looking statements or information within the meaning of the United States Private Securities Litigation Reform Act of 1995 and forward-looking information within the meaning of applicable Canadian securities laws. Often, but not always, forward-looking statements and forward-looking information can be identified by the use of words such as "plans", "expects", "is expected", "budgeted", "scheduled", “continue”, “projected”, "estimates", "forecasts", "intends", "anticipates", or "believes" or the negatives thereof or variations of such words and phrases or statements that certain actions, events or results "may", "could", "would", "might" or "will" be taken, occur or be achieved.
Forward-looking statements or information contained on this Site include, but are not limited to statements or information with respect to Eldorado’s guidance and outlook, including expected production, projected cash costs, planned capital and exploration expenditures; Eldorado’s expectation as to its future financial and operating performance, including future cash flow, estimated cash costs, expected metallurgical recoveries, gold price outlook; Eldorado’s strategy, plans and goals, including its proposed exploration, development, construction, permitting and operating plans and priorities and related timelines; and estimations of mineral reserves and mineral resources.
Forward-looking statements and forward-looking information by their nature are based on assumptions and involve known and unknown risks, uncertainties and other factors which may cause the actual results, performance or achievements of Eldorado to be materially different from any future results, performance or achievements expressed or implied by such forward-looking statements or information.
Eldorado has made numerous assumptions about the forward-looking statements and information contained herein, including among other things, assumptions about the geopolitical, economic, permitting and legal climate that we operate in; the future price of gold and other commodities; exchange rates; anticipated costs and expenses; production, mineral reserves and mineral resources and metallurgical recoveries; the impact of acquisitions, dispositions, suspensions and delays on Eldorado’s business and the ability to achieve its goals. In particular, except where otherwise stated, Eldorado assumed a continuation of its existing business operations on substantially the same basis as currently in effect. Even though Eldorado’s management believes that the assumptions made and the expectations represented by such statements or information are reasonable, there can be no assurance that the forward-looking statement or information will prove to be accurate. The outcome of many assumptions is difficult to predict and are beyond Eldorado’s control. Should one or more of these risks, uncertainties or other factors materialize, or should underlying assumptions prove incorrect, actual results may vary materially from those described in forward-looking statements or information. These risks, uncertainties and other factors include, among others, the following: geopolitical and economic climate (global and local), risks related to mineral tenure and permits; gold and other metal price volatility; metallurgical recoveries; risks of not meeting production and cost targets; discrepancies between actual and estimated production; , mineral reserves and resources and metallurgical and testing recoveries; subjectivity of estimating mineral resources and reserves and the reliance on available data and assumptions and judgements used in interpretation of such data; depletion of grades or quantities of mineral reserves; mining operational and development risk; prices for energy inputs, labour, materials, supplies and services (including shipping) remaining consistent with expectations; litigation and arbitration risk; regulatory restrictions, including environmental regulatory restrictions and liability; climate change risk; taxation, including change in tax laws and interpretations of tax laws; risks of sovereign investment; risks associated with joint ventures; currency fluctuations; speculative nature of gold exploration; ability to obtain financing; maintaining substantial levels of indebtedness, including potential financial constraints on operations; ability to identify and complete acquisitions; dilution; share price volatility; the sale of our Chinese assets on the Company’s operations; the acquisition of Integra Gold Corp.; the risks that the integration of acquired businesses may take longer than expected; the anticipated benefits of the integration may be less than estimated and the cost of the acquisition may be higher than anticipated; competition; loss of key employees; community and non-governmental actions and defective title to mineral claims or property, as well as those factors discussed in Eldorado’s most recent interim and annual management’s discussion and analysis and in the sections entitled “Forward-looking information and risks” and "Risk factors in our business" in Eldorado's most recent Annual Information Form & Form 40-F. Forward-looking statements and information is designed to help you understand management’s current views of Eldorado’s near and longer term prospects and may not be appropriate for other purposes.
Although Eldorado has attempted to identify factors that would cause actual actions, events or results to differ materially from those described in forward-looking statements and information, there may be other factors that cause actual results, performances, achievements or events to not be as anticipated, estimated or intended. Also many of the factors are beyond Eldorado’s control. There can be no assurance that forward-looking statements or information will prove to be accurate, as actual results and future events could differ materially from those anticipated in such statements. Accordingly, readers should not place undue reliance on forward-looking statements or information.
Except as required by law, Eldorado does not expect to update forward-looking statements and information continually as conditions change and you are referred to the full discussion of Eldorado's business contained in Eldorado's reports filed with the securities regulatory authorities in Canada and the U.S. All forward-looking statements and information contained on the Site are qualified by this cautionary statement.
Cautionary Note to U.S. Investors Concerning Mineral Reserve and Mineral Resource Estimates
The terms "mineral reserve", "proven mineral reserve" and "probable mineral reserve" referred to in Eldorado's disclosure are Canadian mining terms as defined in accordance with National Instrument 43-101 - Standards of Disclosure for Mineral Projects (“NI 43-101”) under the guidelines set out in the Canadian Institute of Mining, Metallurgy and Petroleum (the "CIM") Standards on Mineral Resources and Mineral Reserves, adopted by the CIM Council and amended from time to time by the CIM (the “CIM Standards”). These definitions differ from the definitions in the United States Securities & Exchange Commission ("SEC") Industry Guide 7. In the United States, a mineral reserve is defined as a part of a mineral deposit which could be economically and legally extracted or produced at the time the mineral reserve determination is made.
The terms "mineral resource", "measured mineral resource", "indicated mineral resource", "inferred mineral resource" used in Eldorado's disclosure are Canadian mining terms as defined in accordance with NI 43-101 under the guidelines set out in the CIM Standards. Mineral resources which are not mineral reserves do not have demonstrated economic viability.
While the terms "mineral resource", "measured mineral resource," "indicated mineral resource", and "inferred mineral resource" are recognized and required by Canadian regulations, they are not defined terms under standards in the United States and normally are not permitted to be used in reports and registration statements filed with the SEC. As such, information contained in Eldorado's disclosure concerning descriptions of mineralization and resources under Canadian standards may not be comparable to similar information made public by U.S companies in SEC filings.
With respect to "indicated mineral resource" and "inferred mineral resource" there is a great amount of uncertainty as to their existence and a great uncertainty as to their economic and legal feasibility. It cannot be assumed that all or any part of an "indicated mineral resource" or "inferred mineral resource" will ever be upgraded to a higher category. Investors are cautioned not to assume that any part or all of mineral deposits in these categories will ever be converted into mineral reserves.
Accordingly, information on the Site containing descriptions of its mineral deposits may not be comparable to similar information made public by US companies subject to the reporting and disclosure requirements under US federal securities laws and the rules and regulations thereunder.
